Order, Refund and Cancellation Policy
At NAAMAAKAR (hereinafter “NAAMAAKAR”, “we”, “us” or “our”), every engagement involves dedicated professional time, research, strategy, creative development and, where applicable, coordination with statutory authorities and third-party professionals. This Order, Cancellation & Refund Policy explains how orders are placed and accepted, when a project begins, how cancellations are handled and when a refund may be available. “Client”, “you” and “your” refer to the individual, business or authorised representative placing an order or engaging our services.
This Policy forms part of NAAMAAKAR’s Terms & Conditions and should be read together with our Legal Disclaimer and Privacy Policy. If an applicable proposal, quotation, invoice, service agreement or statement of work (hereinafter “Engagement Document”) contains terms that conflict with this Policy, the Engagement Document will prevail for that specific order.
16. Client Delays, Project Holds and Reactivation:
The Client must provide required information, feedback, approvals and documents within the agreed timeframe. If the Client delays a project for more than 30 days, NAAMAAKAR may place it on hold. If a project remains inactive for more than 45 days, NAAMAAKAR may close it after providing reasonable notice. Reactivation will be subject to current availability, revised fees, revised timelines and, where applicable, a reactivation fee.
Amounts paid for work already completed, time reserved or project stages already commenced are not refundable due to Client delay, inactivity, non-response or failure to provide required information.
1. Services Covered By This Policy:
This Policy applies to orders for NAAMAAKAR’s services, including:
1. brand naming and brand strategy;
2. trademark risk assessment, trademark registration and related support;
3. copyright and industrial-design registration support;
4. company, LLP, partnership, GST, Startup India, MSME, IEC, FSSAI,
APEDA and related registration support;
5. logo design, brand identity, brand books and creative deliverables;
6. website legal-policy drafting and business-compliance support;
7. consultations, audits, reports, portfolios and business-launch packages; and
8. any other service expressly offered or confirmed by NAAMAAKAR in writing.
2. Placing an Order:
An order may be placed through the NAAMAAKAR website, email, WhatsApp, proposal, quotation, invoice, payment link or another authorised NAAMAAKAR channel. By placing an order, you confirm that:
1. you are legally capable of entering into a binding agreement;
2. you have the authority to act for the business or person named in the order;
3. all information, documents and instructions provided by you are complete, accurate and lawful; and
4. you have reviewed and accepted the applicable package, scope, pricing and these Terms.
3. Order Acceptance:
An order is accepted only when NAAMAAKAR confirms it in writing and receives the payment required to begin the engagement.
NAAMAAKAR may decline, suspend or cancel an order before commencement where:
1. the requested service is unavailable or outside the agreed scope;
2. the information or instructions are incomplete, inaccurate, unlawful or misleading;
3. the requested work may infringe third-party rights or breach applicable law;
4. a conflict, ethical concern or professional limitation exists;
5. the Client fails to make the required payment; or
6. NAAMAAKAR reasonably considers that the engagement cannot be undertaken.
If NAAMAAKAR declines an order before work begins, amounts received for that uncommenced service will be refunded, subject to deduction of any non-recoverable payment-processing or third-party costs.
4. Quotations, Prices and Taxes:
Unless otherwise stated in writing:
1. quotations are valid for 14 days from the date of issue;
2. professional fees are exclusive of applicable taxes;
3. government fees, statutory charges, filing fees, courier charges, payment-
gateway charges,
4. domain fees, translation charges, notarisation charges and third-party
costs are additional;
5. prices may change where the Client changes the scope, brief, requirements,
deliverables, class, jurisdiction or timeline; and
6. a quotation does not reserve availability until the required payment is received.
Any promotional offer, discount or bundled price is valid only for the stated period and cannot be combined with another offer unless NAAMAAKAR confirms otherwise in writing.
5. Payment Terms:
The payment schedule will be stated in the applicable Engagement Document or invoice. Unless agreed otherwise:
1. the agreed advance payment is required before work begins;
2. milestone payments must be made before the next project stage begins;
3. final payment is due before final deliverables, source files,
filing confirmations or ownership and usage rights are released;
4. all payments must be made through an authorised NAAMAAKAR
payment method; and
5. the Client is responsible for any bank, gateway, currency-conversion
or transaction charges 6. charged by its payment provider.
NAAMAAKAR may suspend work, withhold deliverables, pause filings or revise timelines if payment is overdue.
6. When a project commences:
A project is considered commenced when NAAMAAKAR begins any activity for the Client’s order. This includes:
1. reviewing the Client brief, documents, materials or instructions;
2. conducting a consultation, discovery call or onboarding session;
3. reserving team capacity or project resources;
4. conducting research, naming exploration, trademark screening, strategy
or design work;
5. preparing a proposal, report, portfolio, presentation, draft or
other deliverable;
6. contacting a third-party professional or service provider; or
7. initiating, preparing or submitting a government, statutory or
third-party application.
Once a project has commenced, NAAMAAKAR has committed professional capacity and resources to the engagement. Refund eligibility will therefore be assessed in accordance with Clauses 10 to 13 of this Policy.
9. Cancellation by the Client:
A cancellation request must be submitted in writing to connect@naamaakar.com from the Client’s registered email address. The request must include the Client name, invoice number, service ordered and reason for cancellation. A request is effective only when NAAMAAKAR acknowledges it in writing. The Client remains responsible for all fees, costs and work performed up to the cancellation date.
A. Cancellation before commencement
If NAAMAAKAR receives and accepts a cancellation request before the project has commenced, the Client will be eligible for a refund of the professional fee paid, less:
1. non-recoverable payment-gateway or banking charges;
2. government, statutory or third-party fees already paid or committed; and
3. expenses or professional costs expressly authorised by the Client.
B. Cancellation after commencement
Once a project has commenced, the advance or payment made is generally
non-refundable because it covers professional time, research, strategy,
creative development, project capacity and related work already committed.
NAAMAAKAR may, at its discretion, consider a partial refund or service credit
only after deducting:
1. the value of work completed;
2. time reserved and resources allocated;
3. consultation, research, screening, strategy and creative development
already undertaken;
4. drafts, reports, portfolios, presentations or deliverables already
prepared or shared;
5. government, statutory, third-party and out-of-pocket costs; and
6. non-recoverable banking or payment-processing charges.
C. Cancellation after delivery, approval or use
No refund will ordinarily be available after any of the following has occurred:
1. a deliverable, portfolio, report, presentation, draft or final file has been shared;
2. a recommendation, brand name, tagline, logo, design or strategy has been
selected, approved, adopted, used, registered, filed, published or implemented;
3. a registration, application or statutory filing has been initiated or submitted;
4. the booked consultation has been conducted; or
5. the relevant service has been substantially performed.
Nothing in this Policy limits a refund or remedy that cannot lawfully be excluded.
8. Revisions, Approvals and Delivery:
The number of revision rounds included in an order is specified in the applicable package or Engagement Document. A revision round allows the Client to request alternative recommendations or refinements within the original agreed brief and scope. For example, where a naming presentation contains five proposed names and the Client does not wish to proceed with any of them, one revision round may include up to five fresh name recommendations based on the same brief. Similarly, for logo or brand-identity services, a revision round may include revised or replacement concepts within the number and scope stated in the selected package. A revision round does not include a complete change in the business brief, category, target audience, strategy, style direction, deliverables or project scope. Such requests may be treated as additional work and charged separately. The Client must provide consolidated feedback within a period of 14 days from project delivery. NAAMAAKAR may treat written approval, selection, confirmation to proceed, publication, implementation, filing or commercial use of a deliverable as final acceptance of that stage.
Final files, ownership rights and permitted usage rights are released only after full payment, unless otherwise agreed in writing.
7. Scope of Service and Additional Work:
Each order is limited to the deliverables, revision rounds, timeline and exclusions described in the selected package or Engagement Document.
The following are treated as additional or out-of-scope work unless expressly included:
1. fresh naming explorations or a new creative direction;
2. additional revision rounds;
3. changes to the approved brief, business model, target market,
category or jurisdiction;
4. additional trademark classes, applications, filings or territories;
5. replies to objections, examination reports, hearings, opposition,
rectification, appeal or dispute work;
6. additional design concepts, formats, source files or collateral; and
7. work required because of delayed, incomplete or revised Client instructions.
Additional work requires NAAMAAKAR’s written confirmation and may involve additional fees and revised timelines.
14. Government, Statutory and Third-Party Fees:
Government and third-party charges are subject to the policies and decisions of the relevant authority or provider. They are generally non-refundable once paid, incurred or committed. If NAAMAAKAR receives a refund from a government authority or third-party provider, we will remit the refundable amount to the Client after deducting reasonable banking, processing, recovery and administrative costs, unless otherwise agreed in writing.
NAAMAAKAR is not responsible for a third party’s refusal, delay, technical failure, revised fee, change in policy or refusal to refund.
10. Refund Eligibility:
A refund may be considered where:
1. NAAMAAKAR accepts an order but is unable to begin the service for
reasons solely attributable to NAAMAAKAR;
2. NAAMAAKAR cancels an order before substantial work has been performed
and the Client is not at fault;
3. a duplicate payment has been made and verified;
4. an incorrect payment amount has been received and verified; or
5. applicable law requires a refund.
Refunds are assessed against the actual stage of work completed and the non-recoverable costs incurred. A refund is not automatic merely because a Client changes their mind, no longer requires the service or does not wish to proceed with a recommendation.
11. Non-Refundable Items:
Unless required by applicable law or expressly agreed otherwise in writing, the following are non-refundable:
1. work completed before a cancellation request is accepted;
2. consultation fees after the consultation has taken place;
3. research, strategy, screening, naming exploration and creative-development
work already undertaken;
4. delivered drafts, reports, portfolios, presentations and final files;
5. government fees, statutory fees, filing fees, stamp duties and registry charges;
6. third-party fees, including domain, courier, translation, notarisation,
professional and payment-processing charges;
7. fees for applications already prepared, initiated or submitted;
8. fees paid for reserved project capacity after commencement; and
9. charges arising from additional work approved by the Client.
12. Brand Naming, Creative and Strategy Services:
Unless required by applicable law or expressly agreed otherwise in writing, the following are non-refundable:
1. work completed before a cancellation request is accepted;
2. consultation fees after the consultation has taken place;
3. research, strategy, screening, naming exploration and creative-development
work already undertaken;
4. delivered drafts, reports, portfolios, presentations and final files;
5. government fees, statutory fees, filing fees, stamp duties and registry charges;
6. third-party fees, including domain, courier, translation, notarisation,
professional and payment-processing charges;
7. fees for applications already prepared, initiated or submitted;
8. fees paid for reserved project capacity after commencement; and
9. charges arising from additional work approved by the Client.
13. Trademark, Registrations and Compliance Services:
NAAMAAKAR does not guarantee registration, approval, acceptance, clearance, statutory recognition or any specific legal or commercial result.
Refunds will not be available merely because a government authority, registry, court, tribunal, third party or other body:
1. raises an objection, query or examination report;
2. seeks further documents, evidence, clarification or fees;
3. delays processing;
4. refuses, rejects, cancels or modifies an application;
5. requires a hearing, response, opposition, rectification, appeal or fresh filing; or
6. reaches an outcome different from the Client’s expectation.
Replies to objections, hearing appearances, opposition proceedings, rectification, appeals, additional filings and similar work are chargeable separately unless expressly included in the Engagement Document.
15. Consultation Rescheduling and No-Shows:
A consultation may be rescheduled by giving at least 48 hours’ written notice, subject to availability. A missed consultation, late cancellation or repeated rescheduling may be treated as a completed consultation and may not be refundable. NAAMAAKAR may reschedule a consultation where reasonably necessary and will make reasonable efforts to offer an alternative slot.
18. Refund Process and Timeline:
To request a refund, email connect@naamaakar.com with the subject line “Refund Request” and include:
1. Client name and registered contact details;
2. invoice or order number;
3. payment date, payment method and transaction reference;
4. service purchased; and
5. the reason for the request.
NAAMAAKAR may request reasonable evidence or verification before processing a refund. If approved, refunds will ordinarily be processed within 14 business days to the original payment method or the Client’s verified bank account. The actual time for funds to appear may depend on the Client’s bank, card issuer, payment gateway or financial institution.
17. Cancellation by NAAMAAKAR:
NAAMAAKAR may suspend or cancel an order where:
1. payment is overdue;
2. the Client provides inaccurate, incomplete, misleading, unlawful or
unauthorised information;
3. the Client requests unlawful, unethical, abusive or infringing work;
4. the Client breaches the Terms & Conditions or this Policy;
5. a conflict, regulatory issue or professional concern prevents continuation;
6. the Client engages in abusive, threatening or inappropriate conduct; or
7. an event beyond our reasonable control makes performance impracticable.
Where NAAMAAKAR cancels an order without fault by the Client and before substantial work has been completed, we will assess an appropriate refund for the unperformed portion of the service after deducting non-recoverable costs and work already completed.
19. Incorrect, Duplicate & Unauthorised Payments:
If you believe that a payment was made incorrectly, duplicated or without authorisation, notify us promptly at connect@naamaakar.com. We will investigate the matter and take appropriate action after verification. We may require proof of payment, identification of the payer and reasonable information needed to prevent fraud.
20. Payment Disputes and Chargebacks:
Before initiating a payment dispute or chargeback, please contact NAAMAAKAR so that we can review and attempt to resolve the issue. If a Client initiates an unjustified chargeback or payment reversal after receiving services, reserving project capacity, accessing deliverables or approving work, NAAMAAKAR may provide relevant proposals, invoices, communications, delivery records, approvals and payment evidence to the relevant bank, payment provider or authority. The Client remains responsible for valid amounts due under the Engagement Document, including reasonable recovery costs, to the extent permitted by law.
21. Force Majure:
NAAMAAKAR is not responsible for delays, interruptions or inability to perform caused by events beyond our reasonable control, including government action, registry downtime, technical failure, internet disruption, payment-system failure, natural disaster, public emergency, labour disruption, third-party service failure, changes in law or official procedure. In such circumstances, NAAMAAKAR may reasonably extend timelines, pause the affected work, revise the delivery plan or propose an alternative solution. Refunds, if any, will be assessed based on work completed and non-recoverable costs incurred.
22. Statutory Consumer Rights:
Nothing in this Policy is intended to exclude, restrict or override any right or remedy available under applicable law. If any provision of this Policy conflicts with a non-waivable legal right, that legal right will prevail to the extent of the conflict.
23. Changes to this Policy:
NAAMAAKAR may update this Policy from time to time. The revised version will be posted on this page with an updated “Last updated” date. The version in force on the date an order is accepted will apply to that order, unless a change is required by law or is agreed with the Client in writing.

24. Governing Law & Jurisdiction:
This Policy shall be governed by the laws of India. Subject to applicable law, the courts at Mumbai, Maharashtra shall have exclusive jurisdiction over disputes arising from or relating to an order, cancellation, refund or this Policy.
